Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and CozziTech LLC ("CozziTech," "we," "us," or "our") governing your download and use of the ctLibrary™ mobile application and any related services (collectively, the "App"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

Your use of the App is also subject to the ctLibrary™ Privacy Policy, which is incorporated into these Terms by reference.

2. The App

ctLibrary™ is an offline-first mobile application that lets you organize documents and personal notes into folders and categories stored on your device. The App provides in-app viewing for common document types, optional iCloud Sync (iOS only) between your own Apple devices, an optional App Lock, and a one-time email verification step that removes the starter caps on the free version. 3. License Grant

Subject to your compliance with these Terms, CozziTech grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on devices you own or control, for your personal use or for the internal business use of your organization. All rights not expressly granted to you are reserved by CozziTech.

4. Eligibility

You must be at least 13 years old (or 16 in the EU/UK) to use the App. By using the App you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

5. Email Verification and Access Tiers

The App is free. An unverified install is fully functional within starter caps on folders, categories, documents, and notes, and with sharing out of the App disabled. A one-time email verification removes those caps at no charge. Verification involves entering an email address and a 6-digit code we send to it; details about how that email is handled are described in the Privacy Policy.

You agree to provide an email address that you control and that is accurate. You may remove your verified email from your device at any time via Settings → "Forget my email," which will return the App to its unverified state on that device.

6. Your Content

"Your Content" means the documents, files, notes, folder and category names, icons, colors, and any other material you import into or create within the App. As between you and CozziTech, you own Your Content. We do not claim any ownership of Your Content and we do not receive a copy of it. Because Your Content is stored on your device (and, if you enable it, in your own iCloud account on iOS), CozziTech has no ability to access, read, recover, restore, or transmit it.

You are solely responsible for Your Content, for ensuring you have the rights to store and use it, and for maintaining your own backups. Uninstalling the App, resetting your device, losing your device, or using "Reset & wipe everything" will delete Your Content, and we will not be able to recover it.

7. Acceptable Use

You agree not to use the App to:

• Store, view, or share content that is unlawful, infringing, defamatory, harassing, or obscene, or that violates the rights of others.
• Store, view, or share child sexual abuse material or any other content prohibited by law.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent that applicable law expressly permits such activity notwithstanding this restriction.
• Circumvent, disable, or interfere with any security, licensing, or rate-limiting feature of the App, including the starter caps on the unverified tier.
• Use the App to build or train a competing product, or to scrape, copy, or extract the App's user interface or feature design.
• Use automated means to abuse the email-verification system, including registering verifications for addresses you do not control or generating excessive verification requests.
• Use the App in any way that violates applicable law or any third party's rights.

8. App Stores and Third-Party Platforms

You obtain the App through the Apple App Store or Google Play. These stores have their own terms that govern download and installation; those terms apply in addition to ours. If there is a conflict between an app store's terms and these Terms with respect to your use of the App, the app store's terms control only to the extent necessary to comply with that store's rules.

Optional iCloud Sync (iOS only) relies on Apple iCloud, which is operated by Apple under Apple's own terms and privacy policy. CozziTech operates no sync server and is not responsible for the availability, integrity, or retention of data Apple stores for you.

9. Apple-Specific Terms

If you obtained the App from the Apple App Store, you acknowledge that these Terms are between you and CozziTech only, and not with Apple. Apple is not responsible for the App or its content. To the extent these Terms provide for usage rules that are less restrictive than, or in conflict with, the Apple Media Services Terms, the more restrictive or conflicting Apple term applies. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App. CozziTech is solely responsible for addressing any claims relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.

10. Google-Specific Terms

If you obtained the App from Google Play, your use is also subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the App.

11. Intellectual Property

The App, including its software, design, graphics, icons, text, the ctLibrary™ name and logo, and all related trademarks, are the property of CozziTech LLC or its licensors and are protected by United States and international intellectual property laws. Nothing in these Terms transfers any of those rights to you. You agree not to remove, obscure, or alter any proprietary notices in the App.

12. Updates

We may release updates, bug fixes, security patches, or new features for the App from time to time. Some updates may be required for continued use of the App, including to maintain security or compatibility with the operating system. You agree that the App may download and install updates automatically through your app store, and that these Terms apply to all such updates unless they are accompanied by separate terms.

13. Disclaimers

THE APP AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, COZZITECH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, COZZITECH DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF DATA LOSS, OR THAT DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT THE APP IS NOT INTENDED FOR USE IN ANY SITUATION WHERE FAILURE OR DELAY COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL, PROPERTY, OR ENVIRONMENTAL DAMAGE. THE APP IS NOT A SUBSTITUTE FOR REGULATED RECORD-KEEPING, LEGAL, FINANCIAL, OR MEDICAL ADVICE OR SYSTEMS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COZZITECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP — INCLUDING LOSS OR CORRUPTION OF DOCUMENTS, NOTES, OR OTHER CONTENT STORED IN THE APP — EVEN IF COZZITECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COZZITECH'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED FIFTY U.S. DOLLARS (US $50.00). BECAUSE THE APP IS PROVIDED FREE OF CHARGE, THIS LIMITATION REFLECTS THE ALLOCATION OF RISK BETWEEN YOU AND COZZITECH.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations will apply to the maximum extent permitted by applicable law.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless CozziTech LLC and its officers, members, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the App in violation of these Terms or applicable law, or (c) your violation of any third party's rights.

16. Termination

You may stop using the App at any time by uninstalling it from your device. CozziTech may suspend or terminate your right to use the App, with or without notice, if you violate these Terms, if continued provision of the App becomes commercially impracticable, or if required by law. Upon termination, the license granted in Section 3 ends; sections that by their nature should survive termination (including Sections 6, 7, 11, 13–15, 17, and 18) will survive.

17. Changes to the App and to These Terms

We may modify the App or these Terms at any time. If we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and surface a notice in the App on next launch. Your continued use of the App after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, your remedy is to stop using the App and uninstall it.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and CozziTech agree that the state and federal courts located in New Jersey will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the App, and you consent to personal jurisdiction in those courts. Nothing in this section limits any non-waivable rights you may have as a consumer under the laws of your country of residence.

19. Export Controls

You may not use or export the App in violation of U.S. export laws and regulations or the laws of your jurisdiction. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of restricted parties.

20. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and CozziTech regarding the App. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms; CozziTech may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any partnership, joint venture, or agency relationship between you and CozziTech.
